Confidentiality Agreeement
Pawsitive Alliance acknowledges that it may be necessary to disclose certain confidential and proprietary information to volunteers in order to perform duties under this Agreement. You acknowledge that disclosure to a third party or misuse of this proprietary or confidential information would irreparably harm Pawsitive Alliance. Accordingly, you will not disclose or use, either during or after the term of this Agreement, any proprietary or confidential information without Pawsitive Alliance’s prior written permission.
Proprietary or confidential information includes:
• the written, printed, graphic, or electronically recorded materials furnished by Pawsitive Alliance for Volunteer to use;
• any written or tangible information stamped “confidential,” “proprietary,” or with a similar legend, or any information that Pawsitive Alliance makes reasonable efforts to maintain the secrecy of;
• marketing or strategic plans, donor names and donation amounts, operating procedures, payroll and human resource data, non-public shelter data and monthly and annual budgets; and
• non-public information belonging to donors and grant makers of Organization about whom Volunteer gained knowledge as a result of Volunteer's services to Organization.
